1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Moonshot Collective LLC. You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

2. Description of Service

Curio Fitness is a fitness organization and tracking application that allows users to import workout content from social media platforms (including Instagram, TikTok, and YouTube), organize and store workouts, plan training schedules, and track workout completion and progress. The Service uses artificial intelligence to parse and extract exercise information from user-submitted content.

3. NOT MEDICAL OR HEALTH ADVICE

You acknowledge and agree that:

• Moonshot Collective LLC is not a licensed medical provider, registered dietitian, certified personal trainer, or healthcare professional of any kind.
• You should consult with a qualified physician or healthcare provider before beginning any new exercise program, particularly if you have a pre-existing health condition, injury, or medical concern.
• Physical exercise carries inherent risks including, but not limited to, musculoskeletal injury, cardiovascular events, and other adverse health outcomes. You assume all such risks when using the Service.
• Any workout content displayed in the Service — whether imported from a third-party creator or generated by AI — is provided for organizational and informational purposes only and should not be followed without appropriate personal judgment and professional guidance.
• Moonshot Collective LLC expressly disclaims any and all liability arising from your use of any workout content accessed through the Service.

4. Third-Party Creator Content

Curio Fitness enables users to import workout content created and published by independent third-party creators on platforms such as Instagram, TikTok, and YouTube. You acknowledge and agree that:

• We do not create, endorse, verify, or warrant any third-party creator content. All imported workout content is created independently by third parties and does not represent the views or recommendations of Curio Fitness.
• We are not responsible for the accuracy, safety, completeness, legality, or appropriateness of any third-party workout content imported through the Service.
• Third-party creators are independent individuals or entities and are not agents, employees, or representatives of Moonshot Collective LLC.
• Moonshot Collective LLC has no control over and assumes no responsibility for any injury, illness, or other harm resulting from performing exercises described in third-party content.
• You are solely responsible for evaluating the suitability of any workout content for your individual fitness level, health status, and physical capabilities.
• Importing content through Curio Fitness does not grant you any rights to that content beyond your own personal use. You remain responsible for complying with the terms of service of the original platform from which content was imported.

5. User Accounts

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Take responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate your account if you provide false information or violate these Terms.

6. Subscriptions and Billing

Free Tier

The Service offers a free tier that includes a limited number of workout imports. The specific number of free imports may change at our discretion with reasonable notice.

Premium Subscription

Access to unlimited imports and premium features requires a paid subscription. By purchasing a subscription, you agree that:

• Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected) at the price displayed at the time of purchase.
• Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date.
• Payment will be charged to your Apple ID account at confirmation of purchase.
• You can manage and cancel your subscription at any time through your Apple ID account settings in the App Store.
• No refunds will be provided for partial subscription periods, except where required by applicable law.
• We reserve the right to change subscription pricing at any time. We will provide reasonable advance notice of any price changes, and your continued use of the Service after a price change constitutes acceptance of the new price.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Import content you do not have the right to use or share
• Attempt to circumvent subscription restrictions or access controls
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service
• Use automated tools or bots to access or scrape the Service
• Transmit malware, viruses, or other harmful code
• Harass, abuse, or harm other users
• Misrepresent your identity or affiliation with any person or entity

8. Intellectual Property

The Service, including its design, features, branding, software, and original content, is owned by Moonshot Collective LLC and protected by copyright, trademark, and other applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use in accordance with these Terms.

You retain ownership of any content you create within the Service. By using the Service, you grant us a limited license to store, process, and display your content solely to provide the Service to you.

9. Advertising

The Service may display advertisements served by third-party advertising partners including Google, Apple, Meta, and TikTok. These advertisements are not endorsements by Curio Fitness of any advertised product or service. Third-party advertising partners may use cookies, device identifiers, and similar technologies to serve personalized ads. 10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT AVAILABLE THROUGH THE SERVICE, INCLUDING AI-GENERATED WORKOUT PARSING RESULTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOONSHOT COLLECTIVE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, BODILY HARM, LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF PROFITS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR ANY WORKOUT CONTENT ACCESSED THROUGH THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless Moonshot Collective LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any harm resulting from workout activities you undertake based on content accessed through the Service.

13. Third-Party Platforms and External Services

The Service integrates with and imports content from third-party platforms including Instagram, TikTok, and YouTube. These platforms are operated by independent third parties and are governed by their own terms of service and privacy policies. Your use of third-party platforms is subject to their respective terms. Moonshot Collective LLC is not affiliated with, endorsed by, or sponsored by Instagram, TikTok, YouTube, or their parent companies.

You agree to use any third-party platforms and external services accessible through the Service at your sole risk. Moonshot Collective LLC is not responsible for examining or evaluating the content, accuracy, availability, or legality of any third-party external service, and shall not be liable for any such services. Data or content accessed through any external service — including but not limited to exercise instructions, fitness information, or health-related content — is for general informational purposes only and is not guaranteed by Moonshot Collective LLC. Moonshot Collective LLC reserves the right to modify, suspend, or discontinue integration with any external service at any time without notice or liability to you.

14. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect, including Sections 3, 4, 8, 10, 11, and 12.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Collin County, Texas.

For any dispute with a value under $10,000, you agree to attempt to resolve the matter informally by contacting us at info@moonshotcollective.co before initiating formal legal proceedings.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, through in-app notifications or email. Your continued use of the Service after any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Moonshot Collective LLC with respect to the Service and supersede all prior agreements and understandings.
